Terms of Service

Please read these Terms of Service ("Terms") carefully before using the Spendrz application and website at spendrz.com (the "Service"), operated by SHOP DU MAINE SASU, a French simplified one-person joint-stock company (Société par Actions Simplifiée Unipersonnelle), registered at 90 avenue du Maine, 75014 Paris, France — SIREN 852 644 798, RCS Paris — trading as Spendrz.

1. Acceptance of Terms

By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you disagree with any part of these Terms, you may not use the Service.

2. Eligibility

To use the Service, you must:

• Be at least 18 years of age;
• Have the legal capacity to enter into a binding contract in your jurisdiction;
• Not be prohibited from using the Service under applicable law.

By using the Service, you represent and warrant that you meet all of the above eligibility requirements.

3. Accounts

When you create an account, you must provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You must notify us immediately at admin@spendrz.com if you become aware of any unauthorized use of your account or any other breach of security.

4. Subscriptions & Pricing

Spendrz offers a free Basic tier and a Pro subscription tier. The Pro tier is billed monthly at the price displayed on the pricing page at the time of subscription. Billing is charged in advance at the start of each Billing Cycle.

Your subscription will automatically renew at the end of each Billing Cycle unless you cancel it via your account settings or we cancel it. We reserve the right to change subscription pricing with at least 30 days' notice sent to your registered email address.

5. Refunds & Cancellations

You may cancel your Pro subscription at any time via your account settings. Cancellation takes effect at the end of the current Billing Cycle; you will retain access to Pro features until that date.

We offer a 14-day money-back guarantee from the date of your first Pro subscription payment. If you are not satisfied for any reason, contact us at admin@spendrz.com within 14 days of your initial charge and we will issue a full refund, no questions asked. Refunds are not available for subsequent billing cycles after the initial 14-day period.

EU/EEA consumers additionally benefit from statutory withdrawal rights under applicable consumer protection law. If you have not yet accessed Pro features, you have 14 days from the date of your first subscription payment to request a full refund under this statutory right.

6. Data Processing & Bank Sync

Your use of the Service involves the processing of personal and financial data as described in our Privacy Policy, which forms an integral part of these Terms.

If you choose to connect a bank account via the Pro tier, you explicitly consent to Spendrz, through its integration with Enable Banking Oy (a licensed Account Information Service Provider under PSD2), retrieving read-only transaction data from your designated bank account(s). You may revoke this consent at any time by disconnecting the bank account in the Settings section of the app. Disconnecting immediately terminates future data retrieval; previously synced transaction data will remain in your account until you delete it or close your account.

7. Account Termination

Termination by you

You may delete your account at any time via the Settings page. Upon deletion, your personal data will be permanently erased within 30 days in accordance with our Privacy Policy. Any active Pro subscription should be cancelled before deleting your account to avoid further charges.

Termination by us

We reserve the right to suspend or terminate your account immediately, without notice, if we determine that you:

• Have violated these Terms;
• Have engaged in fraudulent, abusive, or illegal activity;
• Have provided false information during registration;
• Have attempted to reverse-engineer, scrape, or otherwise misuse the Service.

Upon termination by us for cause, access to the Service will cease immediately. Personal data will be deleted within 30 days, subject to legal retention obligations.

8. Limitation of Liability

To the maximum extent permitted by applicable law, SHOP DU MAINE SASU and its directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, goodwill, or other intangible losses — arising from:

• Your access to or use of (or inability to access or use) the Service;
• Any unauthorized access to or alteration of your data;
• Outages, interruptions, or errors in the Service or in any third-party services, including Enable Banking, Neon, or Vercel;
• Inaccuracies, delays, omissions, or errors in transaction data retrieved from your bank via Enable Banking — we rely on data provided by third-party bank APIs and cannot guarantee its completeness or accuracy;
• Any financial decisions you make based on information displayed in the Service — Spendrz provides informational tools only and does not constitute financial advice.

Our total aggregate liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the total amount paid by you to Spendrz in the 12 months preceding the event giving rise to the claim, or €50, whichever is greater.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by applicable law.

9. Intellectual Property

The Service, including its interface, design, code, and content (excluding your personal financial data), is owned by SHOP DU MAINE SASU and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.

Your personal financial data (transactions, categories, rules) remains yours. We claim no ownership over it.

10. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of France, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the competent courts of Paris, France.

If you are a consumer resident in the EU, you may also use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

11. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide at least 14 days' notice of material changes via email to your registered address and by updating the effective date on this page. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service and may delete your account.
